1. Acceptance of Terms

By accessing or using the EasyQuant platform (“Service”), operated by EasyQuant Intelligence (“we,” “our,” or “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use the Service. These Terms constitute a legally binding agreement between you and EasyQuant Intelligence.

2. Description of Service

EasyQuant is an AI-powered financial research and analysis platform that provides institutional-grade equity research, instrument scoring, technical analysis, sentiment analysis, and other financial insights. The Service uses multi-agent AI orchestration combined with real-time market data to generate research reports, scores, and trade ideas.

4. Eligibility

You must be at least 18 years of age to use the Service. By using EasyQuant, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms in your jurisdiction of residence.

5. Account Registration & Security

• You must provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately at [email protected] if you become aware of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

6. Permitted Use

You agree to use the Service only for lawful purposes. You shall not:

• Use the Service for any illegal purpose or in violation of any applicable laws or regulations, including securities laws.
• Attempt to reverse-engineer, decompile, or extract source code from the Service.
• Circumvent, disable, or interfere with security features of the Service.
• Use automated systems (bots, scrapers) to access the Service without our express written permission.
• Redistribute, resell, or commercially exploit the AI-generated research or analysis without our authorization.
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to other users' accounts or our systems.
• Use the Service to manipulate or attempt to manipulate any financial market.
• Upload or transmit viruses, malware, or other malicious code.

7. Subscription Plans & Payments

• Free Tier: Limited access to basic features with daily usage quotas. No payment required.
• Pro Plans: Monthly and yearly subscription plans with higher quotas and access to all analysis types. Pricing is displayed on the Pricing page and may be updated from time to time.
• Payment Processing: All payments are processed by Razorpay (PCI DSS Level 1 compliant). We never store your card details.
• Billing: Subscription fees are charged upfront for the selected billing period (monthly or yearly). Prices are in Indian Rupees (INR) unless otherwise stated.
• Auto-Renewal: Subscriptions do not auto-renew. Each billing period requires a new manual payment.
• Refunds: Please refer to our Refund & Cancellation Policy for details on cancellations and refunds.
• Price Changes: We reserve the right to change pricing. Existing subscribers will be notified 30 days in advance of any price increase. Price changes will apply to the next billing period after notice.

8. Intellectual Property

All content, features, functionality, software, designs, text, graphics, and trademarks on the Service are owned by or licensed to EasyQuant Intelligence and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our proprietary content without express written permission.

AI-generated analysis reports are provided to you for your personal, non-commercial use. You may export and save reports for your own reference but may not republish or commercially distribute them.

9. AI-Generated Content

You acknowledge and agree that:

• AI-generated content may contain factual errors, hallucinations, or biases inherent in the underlying language models.
• Quantitative scores, ratings, and recommendations are algorithmically generated and should not be treated as guarantees of performance.
• Market data is sourced from third-party providers and may be delayed, incomplete, or inaccurate.
• We make reasonable efforts to ground analysis in real-time market data, but we do not guarantee the accuracy, completeness, or timeliness of any content.
• You assume all risk associated with any decisions made based on AI-generated content.

10. Third-Party Data & Services

The Service integrates data from third-party financial data providers. Your use of the Service is also subject to the terms and conditions of those providers. We are not responsible for the accuracy or availability of third-party data. We do not endorse and are not liable for any third-party content, products, or services linked from the Service.

11. Service Availability

We strive to keep the Service available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, server issues, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time without prior notice.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy, or non-infringement.
• In no event shall EasyQuant Intelligence, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of your use of or inability to use the Service.
• We shall not be liable for any financial losses, investment losses, or trading losses resulting from reliance on AI-generated content provided through the Service.
• Our total aggregate liability to you for all claims shall not exceed the amount you paid to us, if any, in the twelve (12) months preceding the claim, or INR 1,000 (Indian Rupees One Thousand), whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless EasyQuant Intelligence and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, your investment decisions, or your violation of any rights of a third party.

14. Termination

• We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.
• You may terminate your account at any time by contacting us at [email protected].
• Upon termination, your right to use the Service will cease immediately.
• Provisions that by their nature should survive termination (including Sections 3, 8, 12, 13, 15, and 17) shall survive.
• Termination does not affect any rights or obligations that accrued before the termination date, including payment obligations.

15. Dispute Resolution & Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

15.1 Informal Resolution

Before filing any formal dispute, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

15.2 Arbitration

If the dispute cannot be resolved informally, it shall be settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India). The arbitration shall be conducted in English, and the seat of arbitration shall be in India. The arbitrator's decision shall be final and binding.

15.3 Class Action Waiver

To the maximum extent permitted by applicable law, you and EasyQuant Intelligence agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

15.4 Jurisdiction

For any matters not subject to arbitration, or where arbitration is not enforceable, the courts located in India shall have exclusive jurisdiction. You irrevocably waive any objection to jurisdiction or venue.

16. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, power outages, internet infrastructure failures, strikes, or shortages of materials or services.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy, Legal Disclaimer, and Refund Policy, constitute the entire agreement between you and EasyQuant Intelligence regarding the Service and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by us.

17.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

17.5 Notices

We may send notices to you via email to the address associated with your account, or by posting a notice on the platform. You are responsible for keeping your email address current. Notices to us must be sent to [email protected].

18. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised “Last updated” date and, for significant changes, via email. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms. If you do not agree, you must stop using the Service.
